Position: Corporate Law Clerk (5+ years)
Location: Ottawa, Ontario
We are currently seeking a skilled and motivated Corporate Clerk who thrives in a fast-paced, deadline-driven environment and enjoys working closely with lawyers on complex and time-sensitive matters, including interprovincial and cross-border transactions.
This role is well suited to someone who is detail-oriented, proactive, and comfortable managing multiple priorities while exercising sound judgment and independence.
Responsibilities:
- Document Preparation: Assist lawyers in drafting and preparing various corporate documents, including articles of incorporation, resolutions, shareholder agreements, share/asset sale and purchase agreements, and annual filings.
- Corporate Filings: Manage and file corporate documents with the relevant government authorities, ensuring compliance with regulations and deadlines.
- Corporate Record Maintenance: Maintain accurate corporate records, minute books, and databases for our clients, ensuring they are up-to-date and in compliance with legal requirements.
- Client Correspondence: Communicate with clients to gather necessary information, respond to inquiries, and provide updates on corporate matters.
- Due Diligence: Assist in conducting due diligence reviews and research related to corporate transactions and compliance matters.
- Support Legal Team: Provide administrative and organizational support to lawyers in corporate transactions, mergers, acquisitions, and other related matters.

Qualifications:
- Education: Diploma or degree from a legal assistant or law clerk program in Ontario, OR a law degree or equivalent legal training obtained outside of Canada that is relevant to corporate or commercial law practice.
- Experience: Minimum of five [5] years of experience as a Corporate Clerk in a law firm or corporate environment in Ontario, with demonstrated experience supporting transactional work, or equivalent corporate law training and experience obtained outside of Canada.
- Knowledge: Understanding of corporate law procedures, corporate governance, and familiarity with corporate documents and filings.
- Attention to Detail: Strong attention to detail in preparing and reviewing legal documents and filings.
- Communication Skills: Excellent written and verbal communication skills, with the ability to interact professionally with clients and colleagues.
- Organizational Skills: Strong organizational abilities and the capability to manage multiple tasks efficiently and independently, while proactively identifying priorities and flagging issues as they arise.
- Language: Fluency in English is required. Fluency in French is an asset.
- Location: Ottawa, ON or Vankleek Hill, ON (primary work location to be determined based on candidate and operational needs).
Salary range: $65,000 – $80,000 (salary commensurate with experience)

SKS Law LLP is seeking a 5+ year associate to join our Ottawa office, with a focus on real estate, development, and commercial leasing. This role is ideal for a practical, business-minded lawyer who enjoys working closely with owners, developers, landlords, tenants, lenders, and other real estate clients on sophisticated transactions and advisory matters, while contributing to a collaborative, high-performing team.
Responsibilities:
- Manage real estate, development, and commercial leasing matters from initial assessment through closing or completion, including acquisitions, dispositions, financing, due diligence, title and off-title review, development approvals support, lease drafting and negotiation, and related transaction documents.
- Provide strategic, practical advice to clients on real estate risk, development issues, leasing strategy, transaction structure, and closing requirements.
- Draft, review, and negotiate agreements of purchase and sale, commercial leases, development agreements, financing documents, easements, closing documents, and other real estate-related instruments.
- Coordinate with clients, opposing counsel, municipal authorities, lenders, title insurers, surveyors, and other transaction participants, as appropriate.
- Build and maintain strong client relationships through responsive, practical, and business-minded real estate and leasing service.
- Work closely with colleagues across the firm to deliver practical, coordinated advice on real estate, development, leasing, financing, corporate, and dispute-related issues.
- Collaborate with lawyers, students and legal support staff, providing guidance and support on transaction workflow, due diligence, closing processes, and leasing matters where appropriate and contributing to a collegial team environment.
- Contribute to real estate, development, and commercial leasing practice development and client growth initiatives, where appropriate.
Qualifications:
- B. or J.D. from an accredited law school.
- Member in good standing with the Law Society of Ontario.
- Minimum 5 years of real estate law experience, ideally with significant exposure to development work and commercial
- Demonstrated ability to manage complex real estate transactions, development matters, and commercial leasing files with a high degree of independence.

The Opportunity
This is a newly structured role at the heart of our firm’s financial operations. You will help coordinate the billing and accounts cycle, from generating client invoices to supporting trust accounting requirements and following up professionally on receivables all while working closely with our external bookkeeper. You will be a trusted point of coordination in a busy law firm where accuracy, discretion, and attention to deadlines are highly valued.
What You’ll Do
Client Billing, Trust Accounting & Coordination
- Generate and send client invoices from dockets using our practice management software (Clio)
- Maintain daily trust account ledgers in compliance with Law Society of Ontario requirements.
- Complete mandatory monthly trust reconciliations
- Issue trust deposit receipts and apply client payments accurately.
- Monitor WIP (work in progress) reports and flag aging matters to partners.
Collections & Accounts Receivable
- Monitor AR aging and follow up professionally and respectfully on outstanding accounts.
- Support the collections process, including payment arrangements and, where appropriate, draft collection correspondence for lawyer review
- Prepare weekly AR summary reports for partners.
- Coordinate write-off approvals with partners.
Accounts Payable, Payroll & Financial Administration
- Process vendor invoices and prepare cheques and EFT payments, in coordination with the external bookkeeper as needed.
- Code and process expense reports.
- Track disbursements and recoverable client expenses.
- Reconcile credit card statements monthly.
- Prepare monthly financial packages and liaise with our external bookkeeper on reconciliations, reporting, and year-end support.
- Coordinate bi-monthly payroll runs and CRA remittances, in coordination with our payroll providers or the external bookkeeper as appropriate.
- Prepare year-end accountant and bookkeeper files, including reconciliations, expense summaries, and year-end working papers, in coordination with the external bookkeeper/accountant (T4s, ROEs, and statutory filings are produced by the payroll provider)
- Coordinate annual Law Society of Ontario membership fee payments for lawyers.
What We’re Looking For
Required
- 3+ years of accounting or billing experience in a law firm or professional services environment
- Firsthand experience with legal billing software (Clio, or similar)
- Solid understanding of trust accounting principles and LSO compliance requirements
- Strong proficiency in Microsoft Excel and Office 365
- Exceptional attention to detail and the ability to meet deadlines in work where accuracy matters.
- Ability to manage confidential financial and client information with discretion.
- Strong communicator who can follow up on outstanding accounts professionally, respectfully, and consistently
Nice to Have
- Bookkeeping or accounting education, or progress toward an accounting designation (CPA or equivalent)

The Opportunity

What You’ll Do
Office Operations & Vendor Management
- Manage day-to-day office operations including supplies, facilities, and vendor relationships.
- Liaise with building management on maintenance, parking, and facility issues.
- Oversee vendor contracts (courier, shredding, IT support, photocopier, cleaner)
- Coordinate IT equipment procurement and manage staff IT requests.
- Manage postage meter, courier accounts, and incoming/outgoing mail.
- Oversee boardroom and communal area bookings and coordinate catering.
HR Coordination
- Working alongside our HR consultant to coordinate recruitment logistics (posting ads, scheduling interviews, sending offers)
- Onboard new hires (set up desk, IT access, credentials, access cards, firm introductions, etc.)
- Maintain employee files in compliance with privacy requirements.
- Track vacation, sick leave, lieu time, and other absences.
- Support offboarding processes and exit logistics.
- Update staff contact lists, org chart, and internal directories.
- Monitor Employment Standards Act compliance with guidance from HR consultants.
Compliance & Law Society
- Coordinate annual Law Society of Ontario firm report filing.
- Track lawyer CPD hours and flag upcoming filing deadlines.
- Manage annual corporate returns and government filings for the firm entity.
- Track articling student rotations and supporting LSO-related filings.
Insurance & Risk
- Manage annual LAWPRO professional liability renewal process.
- Coordinate office property and general liability insurance renewals.
- Maintain certificates of insurance for vendors and third parties.
- File insurance claims and liaise with brokers as needed.
General Administration
- Manage general firm inbox and phone system administration.
- Coordinate lawyer travel bookings.
- Organize staff meetings, prepare agendas, and take minutes.
- Maintain firm policy manual and precedent binders.
- Coordinate firm events (holiday party, client events, team activities)
- Maintain lawyer bio pages and website updates.
What We’re Looking For
Required
- 3+ years of office administration or operations experience, ideally in a law firm or professional services environment
- Demonstrated ability to successfully manage multiple priorities simultaneously.
- Strong working knowledge of Microsoft Office 365 (Outlook, Word, Excel, Teams)
- Experience coordinating HR processes (onboarding, file management, leave tracking, etc.)
- Proven vendor and facilities management experience
- Excellent written and verbal communication skills
- High degree of discretion with confidential firm and client information
- Takes ownership of recurring work without needing reminders and proactively flags improvements to firm processes.
Nice to Have
- Familiarity with Law Society of Ontario compliance requirements (CPD, annual reports)
- Experience with legal practice management software (Clio, or similar)
- HR administration coursework or designation (CHRP or working toward it)
- Bilingual (English/French)
